By accessing or using NoSQLSync (“Service”), operated by NoSQLSync, Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any part of the Service, you represent that you are at least 18 years old and have the legal authority to enter into this agreement.

NoSQLSync provides a cloud-based database migration platform that enables users to migrate data from MongoDB to SQL databases including PostgreSQL, MySQL, BigQuery, Snowflake, and Amazon Redshift. The Service includes schema mapping, change data capture (CDC) replication, and real-time monitoring tools.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with any third party

We reserve the right to terminate accounts that violate these Terms or are inactive for extended periods.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit any data you do not have the right to process or migrate
• Attempt to gain unauthorized access to any system or network
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service for competitive benchmarking or to build a competing product
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent

Certain features of the Service require payment of fees. By selecting a paid plan, you agree to pay the applicable fees as described on our Pricing page.

• All fees are billed in advance on a monthly or annual basis
• Fees are non-refundable except as described in our Refund Policy
• We may change fees upon 30 days written notice
• Failure to pay may result in suspension or termination of your account
• You are responsible for all taxes associated with your use of the Service

Our Privacy Policy describes how we collect, use, and share information about you when you use the Service. By using the Service, you agree to our collection and use of data as described in the Privacy Policy.

You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service. We do not sell your data to third parties.

You are responsible for ensuring you have all necessary rights and permissions to migrate the data you submit to the Service, including compliance with applicable data protection laws.

The Service and its original content, features, and functionality are and will remain the exclusive property of NoSQLSync, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws.

Nothing in these Terms grants you any right to use our trade names, trademarks, service marks, or logos without our prior written consent.

The Service may connect to third-party database services (e.g., MongoDB Atlas, AWS RDS, Google BigQuery). These services are governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOSQLSYNC, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless NoSQLSync, Inc. and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes by email or prominent notice on the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
